TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the Eurogigs website, platform, membership services and related professional services (collectively, the “Services”).

By creating an account, purchasing a Membership, registering a professional profile, or otherwise using the Services, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree to these Terms, you must not create an account, purchase a Membership or use the Services.


1. ABOUT EUROGIGS

Eurogigs is a professional network and representation platform designed to connect professionals with selected professional opportunities, primarily involving European companies and organisations.

Eurogigs is not intended to operate merely as a public job board.

Depending on the circumstances and the Member’s profile, Eurogigs may provide professional support, profile review, CV and profile optimisation, opportunity matching, customer communication and professional representation in connection with suitable opportunities.

Eurogigs does not guarantee that any Member will receive an interview, assignment, employment, contract, customer engagement, income or any particular professional outcome.


2. DEFINITIONS

For the purposes of these Terms:

“Eurogigs”, “we”, “us” or “our” means Eurogigs OÜ, an Estonian private limited company (osaühing), registry code 17565048, VAT identification number EE103019503, with its registered office at:

“Member”, “you” or “your” means the individual or entity that creates an account, purchases a Membership or uses the Services.

“Professional Profile” means the information, CV, qualifications, experience, skills, preferences, portfolio material and other professional information submitted or made available by a Member.

“Customer” means a company, organisation, recruiter, client, hiring manager, intermediary or other professional party with whom Eurogigs may communicate regarding an Opportunity.

“Opportunity” means a potential employment, consultancy, freelance, project, contract or other professional engagement that Eurogigs considers potentially relevant to a Member.

“Membership” means the paid subscription or other access arrangement selected by the Member.


3. ELIGIBILITY

The Services are intended for persons who are legally capable of entering into binding agreements.

By using the Services, you represent that:

  1. the information you provide is accurate and current;

  2. you have authority to enter into these Terms;

  3. you will use the Services lawfully and professionally; and

  4. you will comply with all applicable laws and regulations.

Eurogigs may refuse or restrict access where we reasonably believe that an account, profile or use of the Services is fraudulent, misleading, abusive, unlawful or otherwise inconsistent with these Terms.


4. MEMBERSHIP AND SUBSCRIPTIONS

Eurogigs may offer different Membership plans, including monthly and annual plans.

The applicable price, billing period and material features of each plan will be displayed before purchase.

Current standard Membership pricing may include:

  • Monthly Membership: INR 499 per month

  • Annual Membership: INR 2,499 per year

Eurogigs may change its prices or introduce, modify or discontinue Membership plans. Any price change affecting an existing recurring subscription will be communicated in accordance with applicable law and will apply no earlier than the next applicable renewal period, unless otherwise required by law.

Membership fees are payable in advance.

A Membership provides access to the Services described for the relevant plan. Purchasing a Membership does not constitute the purchase of a job, assignment, employment contract or guaranteed professional placement.


5. AUTOMATIC RENEWAL

Where a Membership is presented as a recurring subscription, the Membership will renew automatically for successive periods of the same duration unless cancelled before the next renewal date.

By purchasing a recurring Membership, you authorise the applicable payment provider to charge the applicable renewal fee using the payment method you have provided, subject to the provider’s terms and applicable law.

You may cancel future renewals at any time through the available account or subscription-management mechanism or by contacting Eurogigs at info@eurogigs.in.

Cancellation of a recurring subscription normally prevents the next renewal but does not, by itself, entitle you to a refund for a Membership period that has already commenced, except where a refund is required by applicable law or under the Refund Policy.


6. ACCOUNT — ONE PERSON, ONE PROFESSIONAL PROFILE

Each individual Membership is intended for one individual professional.

Unless Eurogigs has expressly agreed otherwise:

  • one individual may maintain only one personal Eurogigs account;

  • account credentials must not be shared with another person;

  • a Member must not create multiple accounts for the purpose of obtaining multiple Memberships or circumventing restrictions;

  • a Member must not sell, transfer or otherwise provide access to their account to another person.

A Member must keep account information and login credentials secure.

You are responsible for activity conducted through your account unless you notify Eurogigs promptly of unauthorised access.


7. CORPORATE AND ORGANISATIONAL ACCOUNTS

Where Eurogigs offers corporate, team or organisational accounts, such accounts may be subject to separate commercial terms.

A corporate or organisational account may be used only by the authorised users specified under the applicable plan.

Corporate users must ensure that they have all necessary authority and permissions to submit professional information or personal data relating to individuals to Eurogigs.

Where applicable, Eurogigs may require a separate agreement governing corporate use of the Services.


8. PROFESSIONAL REPRESENTATION & AUTHORISATION

8.1 Nature of the Authorisation

The Eurogigs model may involve professional representation of Members in relation to suitable Opportunities.

By accepting these Terms and creating or maintaining a Membership, you authorise Eurogigs, on a non-exclusive basis and subject to these Terms, to perform the professional representation activities described in this section.

This authorisation is limited to activities reasonably connected with the Eurogigs Services and does not appoint Eurogigs as your general legal representative, attorney, agent for all purposes or exclusive employment agent.

Eurogigs may act as a professional intermediary and representative in communications relating to potential professional Opportunities.


8.2 Scope of Professional Representation

Where Eurogigs determines that an Opportunity may be relevant to you, Eurogigs may, as appropriate:

  1. review and assess your Professional Profile;

  2. review your CV, qualifications, experience and professional background;

  3. request additional information reasonably necessary to assess your suitability;

  4. improve, structure, format or tailor your CV or Professional Profile;

  5. identify Opportunities that may reasonably correspond to your skills and experience;

  6. present or recommend your Professional Profile to selected Customers;

  7. communicate with Customers regarding your professional qualifications and suitability;

  8. provide information about you to a Customer for the purpose of evaluating an Opportunity;

  9. communicate with you regarding applications, interviews, assignments or other professional processes;

  10. support you in preparing for interviews or professional discussions;

  11. assist with communications concerning potential assignments or employment opportunities; and

  12. provide reasonable professional support throughout a relevant recruitment, consultancy or assignment process.

The precise level of representation may vary depending on the Opportunity, the Customer, the Member’s profile and the circumstances of the engagement.


8.3 No Guarantee of Representation for Every Opportunity

Membership does not guarantee that Eurogigs will represent a Member for every Opportunity, or for any particular Opportunity.

Eurogigs may determine whether an Opportunity is suitable based on factors including, but not limited to:

  • qualifications;

  • professional experience;

  • skills;

  • availability;

  • location or remote-work requirements;

  • language requirements;

  • Customer requirements;

  • contractual requirements;

  • legal or regulatory requirements; and

  • the overall suitability of the professional profile.

Eurogigs may decline to present a Member where we reasonably determine that the Opportunity is not suitable or that presentation would not be appropriate.


8.4 Member Approval and Accuracy

You remain responsible for the accuracy of the professional information you provide.

You must promptly inform Eurogigs if material information in your Professional Profile changes, including information relating to qualifications, employment history, availability, skills, professional certifications or other information that could reasonably affect your suitability for an Opportunity.

You must not submit false, misleading, fraudulent, fabricated or materially incomplete professional information.

Eurogigs may correct formatting, structure, wording or presentation of a CV or Professional Profile, but does not assume responsibility for the factual accuracy of information supplied by the Member.


8.5 Customer Communication

Where appropriate, Eurogigs may communicate with Customers on your behalf in relation to an Opportunity.

Such communication may include presenting your professional background, discussing general suitability, coordinating interviews or discussions, and facilitating communication between you and the Customer.

Unless separately agreed, Eurogigs does not have authority to:

  • enter into an employment contract on your behalf;

  • enter into a consultancy or services agreement on your behalf;

  • accept contractual liability on your behalf;

  • make legally binding commitments in your name; or

  • otherwise bind you to a contractual relationship with a Customer.

Any employment, consultancy, freelance, project or other professional agreement entered into between you and a Customer is between you and that Customer unless Eurogigs is expressly a party to that agreement.


8.6 No Employment Guarantee

Eurogigs does not guarantee:

  • employment;

  • consultancy work;

  • freelance work;

  • interviews;

  • customer responses;

  • assignments;

  • minimum income;

  • a specific salary or fee;

  • a specific number of Opportunities;

  • a specific number of introductions; or

  • any other professional outcome.

The availability of Opportunities depends on external factors, including Customer demand, market conditions, project requirements and individual suitability.

Your subscription pays for access to the Eurogigs network, professional support and representation efforts — not for a guaranteed employment or assignment outcome.


8.7 Non-Exclusive Representation

The representation provided by Eurogigs is non-exclusive.

You remain free to seek employment, assignments, customers and professional opportunities independently or through other platforms, recruiters, agencies or networks.

Nothing in these Terms prevents you from pursuing opportunities independently.


8.8 Non-Circumvention

Where Eurogigs introduces you to a Customer or materially facilitates an Opportunity, you agree not to intentionally circumvent Eurogigs for the purpose of avoiding applicable Eurogigs fees, commercial arrangements or agreed representation arrangements.

You must not knowingly use confidential information, Customer introductions or opportunities obtained through Eurogigs to intentionally bypass Eurogigs where doing so would deprive Eurogigs of compensation or contractual rights to which it is entitled.

This provision does not prevent you from:

  • accepting an opportunity that you independently obtained without using Eurogigs;

  • responding to unsolicited contact unrelated to an Eurogigs introduction; or

  • exercising rights that cannot lawfully be restricted.

Any non-circumvention restriction will be interpreted only to the extent permitted by applicable law.


9. PROFESSIONAL SERVICES AND SUPPORT

Eurogigs may provide services including:

  • professional profile review;

  • CV optimisation;

  • opportunity matching;

  • interview preparation;

  • professional communication support;

  • candidate representation;

  • customer introductions; and

  • other related professional support.

The exact services available may vary according to Membership type and the circumstances of an Opportunity.

Eurogigs does not guarantee a particular level, frequency or outcome of support unless expressly agreed in writing.


10. MEMBER RESPONSIBILITIES

You agree to:

  1. provide truthful and accurate information;

  2. maintain an up-to-date Professional Profile;

  3. respond reasonably promptly to relevant communications;

  4. attend interviews or professional meetings that you have agreed to attend;

  5. inform Eurogigs if you become unavailable for an Opportunity;

  6. behave professionally towards Customers and Eurogigs representatives;

  7. comply with applicable laws and contractual obligations; and

  8. notify Eurogigs of any material issue affecting an ongoing Opportunity.

You must not use the Services to:

  • commit fraud;

  • impersonate another person;

  • submit false qualifications;

  • distribute malicious software;

  • harass or abuse another person;

  • unlawfully obtain or disclose confidential information;

  • interfere with the operation of the platform;

  • attempt to gain unauthorised access to accounts or systems;

  • use the platform for unlawful purposes; or

  • otherwise misuse the Services.


11. PROFESSIONAL MATERIALS AND INTELLECTUAL PROPERTY

You retain ownership of the original professional information and materials you submit to Eurogigs, subject to the rights and licences described in these Terms.

You grant Eurogigs a non-exclusive, worldwide licence, for the duration reasonably necessary to provide the Services, to use, reproduce, adapt, format, edit and communicate your Professional Profile and submitted materials for the purposes of:

  • providing the Services;

  • evaluating Opportunities;

  • representing you;

  • communicating with Customers;

  • operating and improving the platform; and

  • complying with legal obligations.

Eurogigs does not obtain ownership of your CV or original professional content merely because you submit it to the platform.

Eurogigs retains ownership of its website, platform, branding, software, databases, processes, templates, methodologies and other proprietary materials.

You must not copy, reproduce, distribute, sell, reverse engineer or commercially exploit Eurogigs proprietary materials without prior written permission.


12. CONFIDENTIALITY

Eurogigs will take reasonable measures to protect confidential professional information provided by Members.

Members must similarly respect confidential information received through Eurogigs.

You must not disclose confidential Customer information, commercial information, project information, personal data or other non-public information obtained through an Opportunity except where disclosure is authorised or legally required.

Nothing in this section prevents disclosure required by law or necessary to exercise a legal right.


13. THIRD-PARTY CUSTOMERS

Eurogigs may introduce Members to independent third-party Customers.

Eurogigs does not control the employment practices, business practices, financial position, working conditions, contractual terms or conduct of third-party Customers.

Members should independently review any offer, contract or engagement before accepting it.

Eurogigs does not guarantee that a Customer will:

  • proceed with an Opportunity;

  • provide accurate information;

  • offer particular compensation;

  • enter into a contract; or

  • perform its obligations under any agreement.


14. PAYMENT PROCESSING

Payments may be processed through third-party payment providers.

By making a payment, you agree that relevant payment information may be processed by the applicable payment provider in accordance with its own terms and privacy practices.

Eurogigs does not ordinarily receive or store complete payment-card details where payment processing is handled by a third-party payment provider.

Payment failures may result in suspension or termination of the relevant Membership.


15. REFUNDS AND CANCELLATION

Refunds are governed by the Eurogigs Refund Policy, which forms part of these Terms.

Nothing in these Terms excludes or limits any mandatory statutory refund, cancellation or withdrawal right that cannot lawfully be excluded.


16. PRIVACY AND PERSONAL DATA

Eurogigs processes personal data in accordance with its Privacy Policy.

The Privacy Policy explains how Eurogigs collects, uses, stores, protects and shares personal information, including information contained in Professional Profiles and CVs.

Where your Professional Profile is presented to a Customer, the processing and disclosure of relevant personal information will be carried out in accordance with the Privacy Policy and applicable data protection law.


17. DATA AND PROFESSIONAL INFORMATION

You acknowledge that professional Opportunities may require Eurogigs to communicate relevant information about you to Customers.

You authorise Eurogigs to use and disclose relevant Professional Profile information for legitimate purposes connected with the Services, subject to applicable data protection law.

Eurogigs will seek to limit disclosures to information reasonably relevant to the relevant professional purpose.

You should not upload information that is unnecessary for professional representation, particularly highly sensitive personal information unless Eurogigs specifically requests it and there is a lawful reason for processing it.


18. SUSPENSION AND TERMINATION

Eurogigs may suspend or terminate an account or Membership where reasonably necessary, including where:

  • these Terms are materially breached;

  • fraudulent or misleading information has been provided;

  • the Services are being misused;

  • payment obligations are not met;

  • the account creates a security or legal risk;

  • continued access would violate applicable law; or

  • Eurogigs reasonably believes termination is necessary to protect Members, Customers or the platform.

Where reasonably practicable, Eurogigs will provide notice and an opportunity to remedy a breach before termination, except where immediate action is reasonably necessary.

A Member may cancel their Membership in accordance with the applicable cancellation procedure.

Termination does not affect rights or obligations that accrued before termination.


19. EFFECT OF TERMINATION

Following termination:

  • access to paid Membership features may cease;

  • future recurring charges will be stopped where applicable;

  • representation activities may cease, subject to ongoing obligations and any active professional process;

  • information may be retained where required or permitted by law; and

  • provisions intended by their nature to survive termination will continue to apply.

Where a Member is already involved in an active Opportunity, Eurogigs may retain and process relevant information for as long as reasonably necessary to complete, document or defend that process, subject to applicable data protection law.


20. DISCLAIMERS

The Services are provided with reasonable care and professional diligence.

However, Eurogigs does not warrant that:

  • the Services will always be uninterrupted;

  • every Opportunity will be available;

  • every Professional Profile will result in an introduction;

  • every Customer will respond;

  • information supplied by third parties will always be accurate;

  • an Opportunity will result in a contract; or

  • the Services will produce a particular professional or financial result.

Nothing in these Terms excludes liability that cannot lawfully be excluded.


21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Eurogigs will not be liable for indirect, incidental, special or consequential loss arising from your use of the Services, including loss of anticipated income, business opportunity, employment opportunity or profits, except where such exclusion is prohibited by law.

Eurogigs is not responsible for the acts, omissions, representations, contractual performance or financial position of third-party Customers.

Nothing in these Terms excludes or limits liability for matters that cannot legally be excluded or limited, including liability arising from fraud, wilful misconduct or mandatory consumer protection rights where applicable.

To the extent permitted by applicable law, Eurogigs’ aggregate liability arising directly from a Member’s use of the Services shall not exceed the total Membership fees actually paid by that Member to Eurogigs during the twelve months immediately preceding the event giving rise to the claim.

This limitation does not apply where applicable law prohibits such limitation.


22. CHANGES TO THE SERVICES

Eurogigs may modify, improve, replace or discontinue features of the Services.

Where a material change adversely affects an existing paid Membership, Eurogigs will provide notice where required by applicable law.

Nothing in this section permits Eurogigs to remove mandatory rights granted to consumers by applicable law.


23. CHANGES TO THESE TERMS

Eurogigs may update these Terms from time to time.

The updated version will be published on the website with a revised “Last Updated” date.

Where a change is materially adverse to an existing Member and notice is required by applicable law, Eurogigs will provide appropriate notice.

Continued use of the Services following the effective date of an updated version constitutes acceptance of the updated Terms to the extent permitted by law.


24. GOVERNING LAW AND CONSUMER RIGHTS

These Terms shall be governed by the laws of Estonia, without prejudice to any mandatory consumer protection rights that apply to you under the laws of the country in which you reside.

If you are a consumer, nothing in these Terms is intended to deprive you of mandatory rights that cannot lawfully be excluded or restricted.

Any dispute shall, where legally permissible, be subject to the competent courts of Estonia, without prejudice to any mandatory right you may have to bring proceedings in another competent court.


25. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.


26. NO WAIVER

A failure or delay by Eurogigs to enforce any provision of these Terms shall not constitute a waiver of that provision or of Eurogigs’ right to enforce it later.


27. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund Policy and any additional terms expressly incorporated into the Services, constitute the agreement between you and Eurogigs concerning your use of the Services.

Where a separate written agreement is expressly entered into between Eurogigs and a Member or Customer, that agreement will prevail to the extent of any direct conflict concerning the specific subject matter covered by that agreement.

29. ACCEPTANCE

By creating an account or purchasing a Membership, you confirm that:

  • you have read and understood these Terms;

  • you agree to be legally bound by these Terms;

  • the professional information you provide is accurate to the best of your knowledge; and

  • you understand that Eurogigs provides professional support and representation efforts but does not guarantee employment, assignments, interviews or income.

Where the registration process provides a separate checkbox for representation, you may also be asked to expressly confirm:

“I agree to the Terms and Conditions, including the Professional Representation & Authorisation provisions.”
